This website (facilities.teamliquid.com) is operated by Competitive eSports LLC and Liquid Enterprises, B.V. (“Liquid”). Throughout the site, the terms “we,” “us,” and “our” refer to Liquid. The use of this website application, including all information, tools and services available from this site to you (the “Liquid Services”), the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing something from us or using the features offered in Liquid Services, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service,” “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink, including, without limitation, Liquid’s Privacy Policy. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, and/or merchants.

This website may allow users to request to reserve certain locations and space for users to utilize for certain periods of time, as agreed to in writing between each user and Liquid (the “Locations”). Nothing herein obligates Liquid to allow any user to use any Location; users may be permitted to use applicable Locations in Liquid’s sole and absolute discretion. To access to the Locations, users must (1) follow the specific instructions set forth in these Terms of Services, through the Liquid Services and communicated to user by Liquid; and (2) enter into a separate contract with Liquid detailing the relationship between Liquid and the user, the Location, and any fees user will pay to Liquid (the “Contract”). Nothing herein, or in any Contract, shall be interpreted as Liquid leasing the Locations to any user; Liquid is simply granting users the right to non-exclusive access to certain Locations for specific events.

Please read these Terms of Service carefully before accessing or using the Liquid Services. If you do not agree to all the terms and conditions of this agreement, then you may not access the Liquid Services or use any services related thereto.

It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

The Liquid Services do not include direct interactions between users.

California User Notice: We may share your personal information regarding your interaction with the Liquid Services with third-party service providers, only to the limited extent necessary to perform the Liquid’s legitimate business and operational purposes. WE RESERVE THE RIGHT TO REFUSE SERVICE TO ANYONE FOR ANY REASON AT ANY TIME, unless such action is prohibited by applicable law. If required by applicable law, we shall provide a legitimate reason for refusing service to a particular user.

01PROHIBITED CONTENT AND ACTIVITIES

By agreeing to these Terms of Service, you represent and warrant that you are fully able and competent to consent and agree to the Terms of Services and to abide by and comply with the Terms.

YOU MAY NOT ACCESS OR USE OUR SERVICES IF YOU ARE UNDER THE AGE OF 13. If you are between the ages of 13 and 18 (or the age of majority in your applicable jurisdiction), you must get your parent's or guardian's permission to access or use our Services.

IF YOU ARE A PARENT OR GUARDIAN AND YOU CONSENT TO YOUR CHILD’S USE OF THE SERVICES, BY PROVIDING SUCH CONSENT YOU ARE AGREEING TO BE BOUND BY THESE TERMS OF SERVICE IN RESPECT OF YOUR CHILD’S USE OF THE SERVICES. • Engage in any other conduct that restricts or inhibits any person from using or enjoying the Liquid Services, or that, in our sole judgment, exposes us, users, or any other third party to any liability, damages, or detriment of any type.
• Use or attempt to use another's information, account, password, service, or system except as expressly permitted.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Liquid Services, use of the Liquid Services, or access to the Liquid Services or any contact on the website through which the service is provided, without express written permission by us.

You may establish only one account per person to participate in or access the Liquid Services, as applicable. You agree that you will not transfer or sell your account or user ID to another party. Violations of system or network security and certain other conduct may result in civil or criminal liability. We may investigate and work with law enforcement authorities to prosecute users who violate the Terms. We may suspend or terminate your access to the Liquid Services for any or no reason at any time without notice, if allowed in your applicable jurisdiction. We shall provide notice of termination, legitimate reason for termination, and an opportunity to request a revision of the ban, if required by applicable law.

02ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material in the Liquid Services is at your own risk.

This website may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time. You agree that it is your responsibility to monitor changes to our site.

03MODIFICATIONS TO THE SERVICE AND PRICES

Prices and/or policies for using our Locations are subject to change without notice. Provided, however, you will not be required to pay any fee to Liquid without being notified in advance of such charge and expressly agreeing thereto. To use any Location, you will generally be required to pay Liquid a fee, as agreed to in writing between each user and Liquid in each instance. We reserve the right at any time to modify or discontinue the Liquid Services (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Liquid Services.

We have the option, but not the obligation, to use reasonable means to verify the accuracy of information submitted by you in connection with your use of the Liquid Services, as determined by us in our sole discretion. We further have the option to offer various tiers of Liquid Services (as applicable), through which user’s individual access and benefits may vary from other users’ access and benefits, as determined by us in our sole discretion, provided that (i) we will exercise good faith, reasonable discretion in doing so, and (ii) we will never discriminate on the basis of race, color, nationality, gender identity, sexual orientation, religious affiliation, veteran status, or other protected characteristic.

04REGISTRATION FOR CERTAIN SERVICE

You may be asked to register for certain activities in connection with the Services, including, without limitation, use of the Locations. When you register or provide any information in connection with the Services, you agree to provide accurate, current, and complete information about yourself as requested or directed and to promptly update this information to maintain its accuracy. Liquid has the right to suspend or terminate any account or other registration and to refuse any and all current or future use if it suspects that such information is inaccurate or incomplete. You are responsible for maintaining the confidentiality of any password and username that you are given or select, and you are responsible for all activities that occur under your password or account.

05LOCATIONS

Certain Locations may be available through the Liquid Services. To request access to any Location, the user must submit a short form with all the requisite information, as detailed in the Services (the “Request Form”). Once a user has filed the Request Form through the Services, Liquid will contact the user and provide details for temporary

access to the Locations, including dates, prices, and other relevant information. User must enter into a Contract with Liquid to access any portion of any Location. Nothing herein or on the Services shall be interpreted as guaranteeing any user access to any portion of any Location.

THE LOCATIONS ARE PROVIDED ON AN “AS IS” BASIS, BY USING THE LOCATIONS AND/OR SERVICES YOU SPECIFICALLY ACKNOWLEDGE AND WAIVE ANY CLAIM FOR FRUSTRATION OF PURPOSE, MUTUAL MISTAKE, UNILATERAL MISTAKE IMPOSSIBILITY, AND YOU FURTHER ACKNOWLEDGE AND ACCEPT THE PRODUCT WITH ALL FAULTS AND WITHOUT ANY WARRANTIES, REPRESENTATIONS OR GUARANTEES EITHER EXPRESS OR IMPLIED OF ANY KIND NATURE OR TYPE WHATSOEVER.

Users must use reasonable care to prevent damage to the Location. Lessee hereby expressly agrees to indemnify Liquid (and its parents, subsidiaries, affiliates, officers, agents, and employees) and hold Liquid harmless from any claims, losses, expenses (including reasonable attorneys’ fees), costs, demands, damages, injuries (to real or personal property, or personnel) rights of action or causes of action (“Claims”) from user or any third-party arising out of (i) user’s use of, access to, or damage to the Location(s); (ii) damage caused by user; and (iii) any breach of the Terms (defined below) by User, to the extent permitted by applicable law. For the avoidance of doubt, in NO EVENT SHALL LIQUID BE LIABLE FOR ANY CLAIMS ARISING FROM USER’S USE OF THE PROPERTY

The opportunity to access a Location does not constitute a binding offer by Liquid. The display of the Locations on the site is only an invitation to you to submit a Request From us.

Billing and Payment. The price of the Locations may be listed in U.S Dollars ($) (USD), or whatever other currency Liquid decides to use. No payment will be processed through the website. All payments for access to the Locations will be coordinated between you and Liquid in accordance with any terms set forth in the applicable Contract.

Insurance. You may be required to meet certain insurance requirements in order to be permitted to access to the Locations. Liquid will provide all insurance requirements to you, in writing, once you request use of any Location. Insurance requirements may further be reflected in the Contract between you and Liquid.

Users are not permitted to photograph, film or otherwise record the Locations without prior written consent. Liquid shall approve or deny such requests in its sole and absolute discretion. The Parties may mutually agree to additional terms governing photography and filming of the locations in the Contract. Nothing herein shall be interpreted as granting user the right to film, photograph, or otherwise record the locations, or otherwise utilize Liquids logos, trademarks, or other brand identifiers.

06INTELLECTUAL PROPERTY

Certain areas of the Liquid Services may enable you to send emails or submit, transmit, upload, send, or otherwise provide ("Provide") information to us. You remain fully responsible for the content and other materials that you provide to us or others in connection with the Liquid Services ("User Content"). You agree not to provide User Content that:

• Infringes on, misappropriates, or otherwise violates the copyright, trademark, patent, or other intellectual property right of any person;
• Is false, misleading, libelous, slanderous, defamatory, obscene, abusive, hateful, threatening, harassing, or sexually-explicit;
• Violates a person's right to privacy or publicity;
• Contains advertising or a solicitation of any kind;
• Exploits, harms, personally attacks (personal attacks include, but are not limited to, defamatory, sexual and/or sexually implicit remarks) or impersonates any person or entity;
• Degrades others on the basis of gender, race, class, ethnicity, national origin, religion, sexual preference, orientation or identity, disability, or other classification;
• Transmits, stores, or otherwise makes available a virus, trojan horse, worm, time bomb, spyware, bot, or other harmful or deleterious programming routine;
• Transmits, stores, or otherwise makes available material which contains any material of a commercial nature, including but not limited to advertising, promotions, "junk mail," "spam," "pyramid schemes," "chain letters," or solicitation of any kind;
• Transmits, stores, or otherwise makes available material which is irrelevant to the subject matter of the Services;
• Contains epithets or other language or material intended to intimidate or to incite violence; or
• Violates any applicable local, state, national, or international law, or advocates illegal activity.

The site does not currently allow any users to publicly publish User Content, and only allows User Content to be privately provided to Liquid.

We also, to the extent permitted or required by law, have the right to disclose your identity to any third party who is claiming that any User Content you provide us or others in connection with the Liquid Services constitutes a violation of the third party's intellectual property rights, of the third party's right to privacy, or of any other applicable local, state, national, or international law.

The Liquid Services may also feature links which allow opportunities for you to transmit User Content via third party social networking websites and products ("Third Party Social Networking Features"). Any use of Third Party Social Networking Features is

subject to the then current terms of use of the applicable third party website or product and not these Terms, unless you are notified otherwise, in which case the terms and conditions set forth in such notification will apply.

If the Liquid Services permit you to provide us User Content, you may only provide User Content that you have the right to provide. You represent that you have obtained all necessary permissions from any person or entity identified in or implicated by your User Content, and, in the case of minors, also from their parents or legal guardians, as appropriate. Nothing herein shall be interpreted as obligating the Liquid Services to allow you to provide Liquid with User Content.

By providing your User Content to us, you agree to these Terms. If you do not want to grant us permission to use your User Content in accordance with these Terms, please do not provide it to us on the Liquid Services.

By entering into the Locations, you hereby irrevocable consent to and authorize Liquid to photograph and otherwise record your likeness and/or voice, and the likeness or voice of any guests you bring onto the Locations. You also irrevocably consent to and authorize Liquid to use such photographs and recordings (the “Materials”) worldwide, for any purpose, whatsoever, in any manner or media, not know or hereafter devised, in perpetuity. All such Materials shall be the sole property of Liquid. You hereby release Liquid from any and all claims relating to any use of the Materials as contemplated in these Terms. You understand that all photography, filming and/or recording will be done in reliance on this consent given by you and any guests, evidenced by you and any guests entering the locations. If you do not wish to appear in any photographs or sound recordings under these conditions, you should not enter the locations.

The obligations that you have to us under these Terms shall survive termination of the Services, any use by you of the Services, any User Content on the Services, or these Terms.

You acknowledge that by submitting your User Content, no confidential, fiduciary, contractually implied, or other relationship is created between you and us or between you and any of our third-party providers other than as expressly set forth in these Terms. You acknowledge that we are not responsible for, and cannot and do not guarantee, the accuracy, completeness, or reliability of information in any User Content.

If you are under the age of 13, you may not provide any User Content to us or enter the Locations. If you are under the age of majority in your jurisdiction of residence but at least 13 years of age, subject to any applicable supplemental terms, you may provide User Content or enter the Locations, but only with the permission of, and under the supervision of, a parent or legal guardian. If you are a parent or legal guardian agreeing to these Terms for the benefit of an individual between the ages of 13 and the age of majority in your jurisdiction of residence, please be advised that you are fully responsible for his or her User Content and any legal liability that he or she may incur.

You may link to the Liquid Services provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest or imply any form of association, approval, or endorsement on our part where none exist and no link to our Services may be "framed" to the extent such frame contains any sponsorship, advertising, or commercial text or graphics. We reserve the right to withdraw linking permission without notice. The website in which you are linking must comply in all respects with the User Content standards described in these Terms.

No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

13SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

14TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
